1. Introduction & Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Auredane AI ("Auredane AI," "Company," "we," "our," or "us"), governing access to and utilization of our automated digital asset intelligence platform, website, software APIs, and related analytical services (collectively, the "Platform").

By accessing, registering with, or utilizing the Platform in any manner, you confirm that you have read, understood, and agreed to be bound by these Terms and our related Privacy Policy and Risk Disclosure. If you do not agree to all provisions within these Terms, you must immediately cease all access and use of the Platform.

2. Eligibility & Account Compliance

Access to the Platform is restricted to natural persons who are at least 18 years of age (or the legal age of majority in their applicable jurisdiction) and legal entities possessing full power and corporate capacity to execute contracts. By using Auredane AI, you represent and warrant that:

  • You are not located in, organized under, or a resident of any territory subject to international, UK, EU, or UN sanctions or trade restrictions;
  • You will maintain the security and absolute confidentiality of all credentials, API keys, and account tokens associated with your instance;
  • All information provided during onboarding and verification is accurate, complete, and maintained on a current basis;
  • Your use of algorithmic intelligence complies with all statutory regulations and fiscal reporting duties applicable in your jurisdiction.

3. Nature of the Platform & Absence of Advisory Services

Auredane AI provides advanced automated software, computational model execution, and quantitative risk parameter calculation tools. The Platform operates solely as technical infrastructure and software provider. Auredane AI is not a broker, custodian, financial intermediary, portfolio manager, or authorized financial advisor under the Financial Services and Markets Act 2000 or corresponding international enactments.

No material, algorithmic model output, backtested projection, or analytical indicator provided through the Platform constitutes investment, financial, legal, or taxation advice. All automated configurations and trade parameters are deployed at your exclusive discretion and peril.

4. Intellectual Property & Permitted License

All software architectures, proprietary machine learning models, computational algorithms, visual designs, trademarks, and documentation associated with Auredane AI remain the sole and exclusive intellectual property of the Company and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to access and interact with the Platform strictly in accordance with these Terms.

You explicitly agree not to reverse-engineer, decompile, mirror, scrape, extract, or redistribute any portion of our mathematical weights, source code, data pipelines, or platform infrastructure without prior written authorization.

5. Prohibited Conduct & Platform Integrity

You warrant that you shall not engage in any activity that impairs, exploits, or destabilizes the Platform. Prohibited activities include, without limitation:

  • Deploying malicious scripts, automated exploits, denial-of-service traffic, or unauthorized rate-limit circumventions against our endpoints;
  • Utilizing the Platform to conduct market manipulation, fraudulent wash trading, spoofing, layering, or unlawful arbitrage;
  • Violating anti-money laundering (AML) protocols, counter-terrorist financing standards, or global tax compliance mandates;
  • Impersonating any personnel or misrepresenting affiliations with Auredane AI or our institutional partners.

6. Disclaimers of Warranties & Limitation of Liability

The Platform is delivered strictly on an "AS IS" and "AS AVAILABLE" basis without warranties of any variety, whether express, statutory, or implied, including warranties of merchantability, fitness for a specific purpose, or uninterrupted, bug-free continuity.

To the maximum extent permissible under applicable law, Auredane AI, its officers, developers, and affiliates shall under no circumstances be liable for direct, indirect, incidental, consequential, punitive, or special damages, including lost profits, loss of digital asset value, network latency execution gaps, smart contract failures, or capital drawdown arising from market volatility or systemic downtime.

7. Indemnification

You agree to defend, indemnify, and hold harmless Auredane AI and its directors, employees, and technological suppliers from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from your breach of these Terms, unauthorized usage of your account, or violation of third-party rights or applicable laws.

8. Governing Law & Dispute Resolution

These Terms, and any dispute or controversy arising out of or in connection with them, shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to conflict-of-law doctrines. Any unresolved dispute shall be subject to the exclusive jurisdiction of the competent courts of the United Kingdom.

9. Modifications & Inquiries

We reserve the right to revise or update these Terms periodically to reflect evolving legal frameworks, security standards, or technological releases. Your continued utilization of Auredane AI following published revisions signifies your acceptance of amended terms.
